NLPearl AI Acceptable Use and Community Policy 

This Acceptable Use and Community Policy (“Policy”) governs your use of NLPearl’s artificial intelligence-powered chatbot and related AI functionalities (the “Chatbot”), as well as your participation in the Pearl Community and any other features or services provided by NLPearl. By accessing or using any NLPearl AI features or the Pearl Community, you agree to comply with this Policy, the NLPearl Service Agreement, and all other applicable terms and policies. This Policy is designed to ensure the safe, responsible, and fair use of NLPearl’s AI-powered Chatbot and related functionalities, to protect the rights and interests of all users and NLPearl, and to promote a positive community experience.

By accessing or using the Chatbot, Pearl Community, or other associated software, you are agreeing to the terms of this Policy, in addition to any terms agreed to in NLPearl’s Service Agreement and Terms and Conditions. NLPearl reserves the right to update this Policy at any time, and your continued use constitutes acceptance of any changes.

You shall not, except to the extent expressly agreed upon in writing by NLPearl: 

1. Input to the Chatbot, Pearl Community, or any AI functionality any: 
   1. Malicious prompts or otherwise attempt to prompt the Chatbot;
   2. Confidential information or sensitive information, as defined under applicable laws, unless you have obtained all necessary rights, legal bases, and consents required under applicable law to provide such information and to use it in accordance with NLPearl’s Service Agreement and this Policy. For example, you must not input trade secrets, privileged communications, or sensitive personal data unless you are authorized and legally permitted to do so.
   3. Information protected by copyright or other intellectual property rights;
   4. Harmful, inaccurate, illegal, or offensive content or content that may have biased or unfair impacts on individuals; or
   5. Personal data, including but not limited to health information, financial information, or other data through which an individual could be identified, or any security credentials (such as login information or passwords), unless expressly permitted by NLPearl and only in full compliance with all applicable law and transparency requirements.
      If you use the Chatbot or Pearl Community to process any health information, personal information, financial information, or any other category of confidential or sensitive information, as defined under applicable laws, you must:
      – Only do so in compliance with all applicable law, including providing all necessary notices and policies to comply with transparency requirements;
      – Have and maintain all necessary rights, legal bases, and consents required under applicable law to provide such information to NLPearl and to use it in accordance with NLPearl’s Service Agreement and this Policy; and
      – Bear all responsibility and be solely liable for such use, and you agree to indemnify and hold harmless NLPearl for any third-party claim arising from your use in breach of any applicable law, privacy, or confidentiality right.

1. You may not use, share, or publish any content, data, or “Pearl” (AI agent) in the Pearl Community that:  
   1. Infringes or misappropriates the intellectual property, privacy, or other rights of any person or entity;  
   2. Is unlawful, defamatory, obscene, harassing, abusive, fraudulent, misleading, or otherwise objectionable;  
   3. Violates any applicable law, regulation, or third-party policy;
   4. Contains or introduces malicious code, viruses, or other harmful materials;  
   5. Misrepresents the source, authorship, or nature of the content, including representing AI-generated output as human-generated when it is not;  
   6. Circumvents, disables, or interferes with any security or use restrictions of the Pearl Community or NLPearl platform.
2. You may not use output from the Chatbot or any Pearl: 
   1. To develop models or products that compete with NLPearl, its affiliates, or its third-party technology; 
   2.  To make or support decisions about individuals that may have material impacts on their rights or their mental, physical, financial, or emotional well-being, without appropriate human review and compliance with applicable law; 
   3. For illegal, unethical, or high-risk purposes, including but not limited to spreading false information, engaging in cyberbullying, harassment, or discrimination; 
   4. Without appropriate review and verification of the outputs, as those may contain false, misleading, or inaccurate information (“hallucinations”); 
   5. In any manner that violates this Policy, the Service Agreement, or any applicable third-party terms.
   6. To make any decisions about an individual that may have material impacts on the rights or the mental, physical, financial or emotional well-being of an individual;
   7. For illegal or unethical purposes, including but not limited to spreading false information, engaging in cyberbullying or harassment.
3. You may only use, copy, or share Pearls or other user-generated content from the Pearl Community as expressly permitted by the Pearl Community license, and solely for your own internal business purposes. Any other use, including for commercial exploitation or redistribution, is prohibited unless expressly authorized in writing by NLPearl.
4. Use the Chatbot, Pearl Community, or any AI functionalities to generate, share, or deploy code, APIs, or integrations except as expressly permitted by NLPearl and subject to all applicable security, privacy, and legal requirements.
5. Circumvent any user limits, subscription scope, or other use restrictions that are built into the Chatbot, Pearl Community, or NL Pearl platform, including by using automated or programmatic methods to extract data or output (such as scraping, web harvesting, or web data extraction).
6. Use any automated or programmatic method to extract data or output from the Chatbot, including scraping, web harvesting, or web data extraction;
7. Use the Chatbot, Pearl Community, or any AI functionalities without reviewing and confirming the information provided in the outputs, including any Pearls, as those may contain false, misleading, or inaccurate information and may require human oversight and approval before use or reliance.
8. Represent that output from the Chatbot, Pearl Community, or any AI functionality was human generated when it is not, or otherwise mislead others regarding the nature or source of any output.
9. Disclose to any third party any confidential, proprietary, or non-public information related to the Chatbot, Pearl Community, or NLPearl platform, except as expressly permitted in writing by NLPearl.
10. Copy, reproduce, adapt, translate, create derivative works of, or otherwise use any ideas, features, functions, graphics, or content of the Chatbot, Pearl Community, or NLPearl platform except as expressly permitted by NLPearl and this Policy.
11. Modify, translate, reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to access or procure a decipherable form of the Chatbot, Pearl Community, or any underlying software or technology.
12. Create adaptations, translations, or derivative works based on the Chatbot, Pearl Community, or any content therein, except as expressly permitted by NLPearl and this Policy.
13. Disseminate, market, license, sublicense, let, rent, loan, or sub-authorize any element of the Chatbot, Pearl Community, or NLPearl platform to any third party, except as expressly permitted by NLPearl and this Policy.
14. Violate the security of any computer network, crack any passwords or security encryption codes, run any form of auto-responder or “spam” on the Chatbot or Pearl Community, or run any processes that interfere with the proper working of the platform (including by placing an unreasonable load on the infrastructure).
15. Violate any applicable laws, regulations, our company policies, or third-party rights, or use the Chatbot, Pearl Community, or any AI functionalities in violation of any applicable third-party provider terms.
16. Reporting and Enforcement. NLPearl may monitor use of the Chatbot, Pearl Community, and other AI functionalities for compliance with this Policy and reserves the right to investigate and take appropriate action, including suspension, termination, or legal action, for any violation.   If you become aware of any violation of this Policy, you must promptly report it to NLPearl at info@nlpearl.ai.
